What this template does

The vehicle purchase agreement documents a private transfer of a car between a seller and a buyer. The agreement sets out which car is being transferred, the purchase price, the payment method, and the terms that apply to the transfer and to title.

With a clear written agreement it is straightforward to show afterwards what the parties agreed — for example the odometer reading at handover, what equipment was included, and which defects were known. This reduces the risk of disputes about the condition of the car after the sale.

When do you need this agreement?

Important considerations

  1. In private sales the buyer's duty to inspect is extensive. Test-drive the car, review the service history and check vehicle data with the Swedish Transport Agency before you sign.
  2. Record the odometer reading at handover and state it in the agreement — it becomes a key reference point if anything is later questioned.
  3. List all known defects in plain text. The seller should disclose anything they are aware of; otherwise liability can arise even with an 'as-is' sale.
  4. Check that the car is not encumbered by unpaid vehicle tax, parking fines or similar before payment is made.
  5. Change of ownership must be reported to the Swedish Transport Agency. The simplest way is via part 2 of the registration certificate, or digitally.
  6. Insurance does not follow the car automatically — the buyer needs to take out their own insurance no later than at handover.

Legal validity

Private sales of movable property between two private individuals are governed by the Swedish Sale of Goods Act. The Act is non-mandatory, which means the parties may to a large extent agree their own terms — for example that the car is sold on an as-is basis.

The Consumer Sales Act, which gives the buyer stronger protection, only applies where the seller is a trader and the buyer a consumer. This template is designed for private sales and should therefore not be used by a dealer selling to a consumer.

The agreement becomes binding when both parties have signed it. To strengthen the evidentiary position, two copies are recommended — one for each party — together with clear documentation of payment and the handover of keys.

Common scenarios

Private sale of a used car

You sell your car to another private individual via Blocket or a similar marketplace and want a clear agreement that both parties sign at handover.

Sale between family members

The car is sold to a relative at below market value. The agreement documents that this is a sale rather than a gift, and what purchase price was actually paid.

Payment on handover

The buyer pays by bank transfer when collecting the car and receives the keys, registration certificate and the car at the same time. The agreement confirms the transfer and the passing of title.

Car with known defects

The seller is aware of minor faults — for example a non-working light or a dent. The agreement lists the defects so the buyer cannot later raise them as complaints.

Frequently asked questions

Must we use a written purchase agreement for a car?

There is no formal legal requirement, but it is strongly recommended. A written agreement is important evidence of what the parties agreed — particularly in private sales where the buyer's duty to inspect is extensive.

What does 'as-is' mean?

It means the car is sold in the condition it is in, with the faults and shortcomings present at handover. The seller is normally not liable for faults the buyer should have discovered on inspection. However, the seller always has a duty to disclose serious faults they are aware of.

When does title pass?

Under the agreement, title passes when payment in full has been made and the car has been handed over. It is therefore important that payment and handover are clearly documented — for example through the date and place in the signature section.

Who is responsible for reporting the change of owner?

Both parties are responsible for reporting the change of owner to the Swedish Transport Agency. In practice this is usually done via part 2 of the registration certificate, which both parties sign, or digitally via the Agency's online service.

What if the car turns out to have hidden faults?

Private sales are governed by the Swedish Sale of Goods Act. The buyer may in some cases assert faults that could not be discovered on inspection, but the threshold is high. The seller's disclosures and the agreement's wording on known defects carry significant weight in determining what counts as a 'fault' in the legal sense.

Can we change the purchase price or terms after signing?

Yes, but changes should be made in writing and signed by both parties — either as an addendum or as a new agreement that replaces the first.
